1. Acceptance of Terms

By accessing or using the Scaylup website, communicating with Scaylup, or using services made available by Scaylup, you agree to these Terms & Conditions (the “Terms”) where applicable. If you do not agree with these Terms, please discontinue use of the website and services.

Scaylup is a sole proprietorship based in Texas, United States. These Terms govern general use of the Scaylup website and related communications. Clients who purchase services from Scaylup may also be subject to separate contractual terms, as described below.

2. About Scaylup

Scaylup provides marketing and advertising-related services. Depending on the engagement, these services may include:

  • Digital advertising, including Meta Ads and Google Ads

  • Lead generation and marketing strategy

  • Landing pages

  • CRM systems, automations, and lead follow-up systems

  • Appointment setting and campaign management

  • Client acquisition systems

  • Related marketing and consulting services

The scope of services provided to any particular client depends on what that client and Scaylup agree to. Scaylup does not promise or guarantee any specific outcome or result.

3. Client Services and Separate Agreements

Specific services purchased from Scaylup may be governed by a separate written agreement, proposal, statement of work, order form, invoice, or similar contract entered into between Scaylup and the client. Those documents may address matters such as scope, deliverables, pricing, payment terms, campaign obligations, and other client-specific arrangements.

These Terms are not intended to replace any such client agreement. If there is a conflict between these general website Terms and an executed client agreement concerning paid services, the client agreement governs that paid service relationship to the extent of the conflict.

4. Client Responsibilities

Clients are responsible for:

  • Providing accurate and complete information

  • Maintaining authority over any accounts they authorize Scaylup to access

  • Providing the permissions and access necessary for Scaylup to perform services

  • Reviewing advertising claims, offers, pricing, and business information before publication

  • Ensuring their products, services, and marketing practices comply with applicable laws and platform requirements

  • Ensuring that any customer or lead information provided to Scaylup was collected lawfully and may lawfully be used for the requested purposes

  • Cooperating as reasonably necessary for Scaylup to perform the agreed services

5. Client-Provided Customer and Lead Data

In the course of providing services, clients may provide Scaylup with information concerning their customers, prospects, and leads. Clients represent that they have the necessary rights, permissions, lawful basis, and/or consent required to provide that information to Scaylup and to allow Scaylup to process it for the requested services.

Scaylup may process such information for purposes including advertising, CRM implementation, lead management, appointment setting, marketing automation, campaign management, analytics, and related client services.

Clients should not provide Scaylup with data they are not authorized to provide.

6. Third-Party Platforms

Scaylup’s services may depend on third-party services and platforms, including examples such as Meta/Facebook, Google, Google Ads, Google Business Profile, Stripe, analytics providers, CRM or software infrastructure providers, and telecommunications providers.

These services are independently controlled and may change their policies, pricing, algorithms, advertising requirements, account access, availability, or features at any time. Scaylup cannot guarantee the availability, decisions, or actions of any third-party platform, including account approvals, restrictions, or performance of their systems.

7. Advertising Performance

Advertising, lead generation, sales, and marketing results cannot be guaranteed. Scaylup works to deliver services professionally and in good faith, but outcomes depend on many factors outside of Scaylup’s control, including market conditions, competition, advertising platforms, ad budget, offer, pricing, client responsiveness, sales process, website quality, economic conditions, and customer demand.

Any examples, figures, or past results referenced by Scaylup are illustrative only and are not a promise or projection of future performance.

8. Intellectual Property

The Scaylup website, branding, copy, design, software, systems, processes, and original materials are protected by applicable intellectual property laws. Except where legally permitted, you may not reproduce, distribute, scrape, reverse engineer, copy, or commercially exploit Scaylup website content without prior authorization.

Ownership, licensing, or transfer of client-specific campaign assets or deliverables may be governed by the applicable client agreement.

Website content is provided for general informational purposes and is not legal, financial, or tax advice.

14. Limitation of Liability

To the extent permitted by applicable law, Scaylup will not be liable for indirect, incidental, special, consequential, or punitive damages, or for lost profits, lost revenue, lost data, or lost business opportunities, arising out of or relating to use of the Scaylup website or general website content.

Liability relating to paid services may be further addressed in the applicable client agreement. Nothing in these Terms excludes or limits liability that cannot lawfully be excluded or limited.

15. Indemnification

To the extent permitted by law, you agree to be responsible for claims, damages, losses, and reasonable expenses arising from your violation of these Terms, your unlawful use of the website or services, content or data you provide without appropriate rights or permissions, or your violation of third-party rights.

Client-specific indemnification obligations may also be governed by a separate client agreement.

16. Termination and Suspension of Access

Scaylup may restrict, suspend, or discontinue access to its website, communications, or systems in cases such as abuse, fraud, security risks, unlawful activity, or violations of these Terms.

This section addresses access to the website and Scaylup systems and does not modify the termination or cancellation provisions of any separate client agreement.

17. Governing Law

These Terms are governed by the laws of the State of Texas, without regard to conflict-of-law principles, to the extent permitted by applicable law.

18. Changes to These Terms

Scaylup may update these Terms from time to time. When material revisions are made, the “Last Updated” date at the top of this page will be modified. Continued use of the website after an update indicates acceptance of the revised Terms where applicable.
